Work
I am a business and transactions attorney with a focus on growth companies. I am a partner at Virtual Law Partners. I work as outsourced general counsel to growth stage companies that don’t need a full-time attorney, and as an outside attorney to early-stage startups on business formation, financing and licensing transactional work.
I have been an attorney since 1998, at Niesar & Diamond LLP, Montgomery Law Group, LLP and then at my own firm. Parkhill Venture Counsel before joining VLP in 2008. In my career I have worked on most transaction types common to non-public companies, including entity formation, structuring and re-structuring, employment counseling, licensing, development and other types of commercial transactions, private placement and venture financings, M&A and corporate governance..
I earned a J.D. from Hastings College of the Law (1998) and degree in Rhetoric from Bates College, Lewiston Maine (1991). At Hastings I served as Internet Editor of the International and Comparative Law Review (HICLR), and my Note on Diplomatic Immunity and International Law was published by HICLR in 1997. I spent 3 semesters of my college career living in Japan, including a year at Kansai Gaikokugo Gakuin. My Japanese is rusty, but I still have dreams of a powder skiing/hot spring soaking trip back to Japan.
The things I love most about my work are the variety of matters I get involved in, and watching my clients execute successfully and take off.
Non-Work
I love to ride bicycles and in my ideal world bike shoes and pant straps would be considered business attire.
