Work
I am a business and transactions attorney with a focus on growth companies. I serve as outsourced general counsel to businesses with day-to-day legal needs that do not yet need a full-time attorney.

I have been an attorney since 1998 and worked in two transactional boutique law firms before forming Parkhill Venture Counsel. At Niesar & Diamond LLP and Montgomery Law Group, LLP I worked with a variety of companies on matters including licensing and commercial transactions, public company reporting, employment counseling, mergers & acquisitions, corporate governance and securities financings.

I earned a J.D. from Hastings College of the Law (1998) and degree in Rhetoric from Bates College, Lewiston Maine (1991). At Hastings I served as Internet Editor of the International and Comparative Law Review (HICLR), and my Note on Diplomatic Immunity and International Law was published by HICLR in 1997.

In my career I have worked on most transaction types common to non-public companies, including entity formation, structuring and re-structuring, employment counseling, licensing, development and other types of commercial transactions, private placement and venture financings, M&A and corporate governance.

The things I love most about my work are the variety of matters I get involved in, and watching my clients execute successfully and take off.

Non-Work
I love to ride bicycles and in my ideal world bike shoes and pant straps would be considered business attire.
